AGREEMENT TO TERMS

By accessing or using ClickScene (“Service”), operated by ClickScene (“we”, “us”, or “our”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

SERVICE DESCRIPTION

ClickScene provides AI-powered thumbnail generation and title A/B testing for YouTube creators. The Service connects to your YouTube channel (read-only), analyzes your historical performance data, generates creative variants, and helps you identify which thumbnails and titles drive the most clicks.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

USER RESPONSIBILITIES

By using ClickScene, you agree to:

• —Provide accurate information when creating your account
• —Keep your login credentials confidential and notify us immediately of any unauthorized access
• —Use the Service only for lawful purposes and in compliance with YouTube's Terms of Service
• —Not attempt to reverse engineer, copy, or redistribute the Service
• —Not use the Service to create content that violates any applicable laws or YouTube's community guidelines
• —Be solely responsible for the content you publish on YouTube

SUBSCRIPTION & BILLING

• —All plans include a 7-day free trial. No credit card is required to join the waitlist.
• —Subscriptions are billed monthly. Your billing date is set when your paid subscription begins.
• —You may cancel at any time from your account settings. Cancellation takes effect at the end of your current billing period — you retain access until then.
• —We do not offer refunds for partial billing periods, except where required by law.
• —We reserve the right to change pricing with 30 days' notice. Price changes will not affect your current billing period.

INTELLECTUAL PROPERTY

The ClickScene platform, including its software, design, and underlying AI models, is owned by us and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission.

You retain full ownership of your YouTube channel content and any thumbnails or titles you choose to publish. We do not claim ownership over creative output generated using your channel data.

NO WARRANTY

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or that any specific CTR improvement will result from use of our recommendations. Results vary by channel, audience, and content category.

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLICKSCENE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability to you for any claim arising from these Terms or your use of the Service shall not exceed the amount you paid to ClickScene in the three months preceding the claim.

INDEMNIFICATION

You agree to indemnify and hold harmless ClickScene and its officers from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

GOVERNING LAW

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

CHANGES TO THESE TERMS

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a prominent notice on our site at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes your acceptance of the revised Terms.
